Separate the ownership question from the value question

The acquisition date, source of ownership, later transfers, capital contributions, agreements, and applicable property law can affect how an interest is characterized. Even when ownership is clear, value may remain disputed.

Start with organizational documents, capitalization records, shareholder or operating agreements, buy-sell provisions, and records of ownership changes. Restrictions on transfer or third-party rights may affect the available options.
